Welcome to Itmeo.com. Please read this Terms of Use Agreement (the “Agreement”) carefully. This Agreement is a legal contract between you (“user”) and Itmeo Inc. (“We”, “Us”, “Our”, “Itmeo”). Itmeo.com is a site operated by Itmeo Inc. We are a US Incorporated company registered in United States.

By accessing or using this website, or any authorized websites linked to this Agreement (collectively, the “Website”), including any services and resources available through the Website (each a “Service” and collectively, the “Services”) provided by Itmeo or its users, you confirm that: (1) you have read, understand, and agree to be bound by this Agreement; (2) you are at least eighteen (18) years of age; (3) you accept the terms and conditions of this Agreement and are responsible for any actions or omissions of minor users in relation to the Services; and (4) you are not barred from using the Services under the laws of the United States, your place of residence, or any other applicable jurisdiction. The term “you” refers to the individual identified as the user during the registration process. If you do not agree to the terms of this Agreement, you may not access or use this Website.

Your participation in certain Services may be governed by additional terms (“Supplemental Terms”). These Supplemental Terms will either be included in the Agreement or presented for your acceptance when you sign up for the specific Service. In the event of any conflict between this Agreement and the Supplemental Terms, the Supplemental Terms will take precedence regarding the relevant subject matter.

PLEASE BE AWARE THAT THE TERMS MAY BE MODIFIED BY ITMEO AT ITS SOLE DISCRETION AT ANY TIME. When changes occur, Itmeo will provide a new copy of the Agreement on the Website, and any new Supplemental Terms will be accessible within or through the relevant Service on the Website. We will also update the “Last Updated” date at the top of the Agreement. All changes will take effect immediately for Users of the Website. If you do not agree with any changes following notification, you must discontinue your use of the Website and/or Services. Otherwise, your continued use of the Website and/or Services indicates your acceptance of the changes. PLEASE REGULARLY CHECK THE WEBSITE FOR THE CURRENT VERSION OF THE AGREEMENT.

Itmeo provides users with different opportunities to connect with their favorite online Creators, purchasing products, blog posts, services, shopping and making donations with such Creators. Itmeo provides Creators with the necessary tools to run their businesses, all in one place.

Description of Itmeo Platform

Itmeo.com is a platform, it is not a financial institution, merchant, creditor, charity, advisor or broker of any kind.

Itmeo is designed to allow a Creator (see below definition) to register and customise a page such as www.itmeo.com/username or Creators can customise the page with images, text and links and use the page to facilitate the acceptance of monetary Donations (“Donations”), the sale of Services (“Services”), products (the “Itmeo Shop”), make Blog Posts (“Blog”), or Sites (“Sites”) and other forms of Creator content which shall be collectively referred to as “Creator Content” (as defined below).

Itmeo is designed to enable various creators, including individuals creating any type of Content (“Creator Content”), whether online or offline (“Creators”) to register and customize a page such as www.itmeo.com/username (”Itmeo Page”).

This Itmeo Page allows Creators to engage with their audience or other users, including other Creators ("Users"), through a variety of features and options on the Website, such as:

Donation. Users have the option to support Creators by making donations in any amount they choose (each referred to as a "Donation").
Offers. If a User wants to request any specific Service offered by the Creator (e.g., feedback, coaching, Q&A session, Ads, Zoom call, etc.) on a Creator’s Itmeo page (each, a “Offer”), a User can make such Request through the Website at the price offered by the Creator.
Links. A Creator can publish links (“External Links”) on their Itmeo page that direct to other websites, products, services, items, or Creator Content. The Сreator is responsible for any Content he posts as well as External Links (as defined below).
Store. The Store feature enables Creators to sell both digital and physical products (each referred to as a “Product”) on their Itmeo page, allowing Users to purchase these Product(s) at the prices set by the Creator. Creators are prohibited from selling the following types of Products: (i) any Product that promotes illegal activities, violence, or hate speech; (ii) any Product that disparages or defames any individual, organization, brand, or business; and (iii) any Product containing or deemed to include Objectionable Content (as defined below) or that violates Itmeo’s Content Guidelines.
Blog Posts.
Messages.
Subscription. A Creator can hide some or all of the Content on their Itmeo page and charge a monthly or one-time subscription fee (“Subscription”) for discovering their content. Users have the option to get the hidden Creator Content by clicking on subscribe button (“Subscribe”).
Gallery. A Creator may upload images, text, and social media videos (including, but not limited to, TikTok, Instagram, and YouTube) on their Itmeo page, featuring tagged items that Users can purchase directly through the Website. A Creator can choose to hide some or all images (“Images”) from their Gallery (“Gallery”) and charge a one-time fee for access. Users have the option to obtain the hidden Creator Content by clicking the Download button (”Download”).

Users can follow, donate, purchase, or subscribe to receive Creator Content, products, or services. Every user can participate as either a Creator or a User.

We develop a community for Creators to sell Creator Content, Products, Offers, receive messages and Donations from Users.

The Website and Services are the property of Itmeo. Itmeo may update the Services from time to time. You may only access the Website and/or Services to seek and post opportunities and for no other purpose.

Use of the Services and Itmeo Platform. The Website, Services, and the information and content available on the Website (collectively referred to as the “Itmeo Platform”) are protected by copyright laws worldwide. Subject to the terms of this Agreement, Itmeo grants you a limited license to reproduce portions of the Itmeo Platform solely for personal and/or professional use of the Services. Unless specified otherwise by Itmeo in a separate license, your use of any Itmeo Platform remains subject to this Agreement.

Acceptance of Terms

By accessing this platform, you are agreeing to be bound by these terms of use and agree that you are responsible for compliance with any applicable local laws.

You are also agreeing to be bound by the terms and conditions of the services you connect your Itmeo account with such as PayPal, Stripe, YouTube, Facebook, Google and Hotjar.

If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this platform are protected by applicable copyright and trademark law.

YOU ACKNOWLEDGE AND AGREE THAT THE ITMEO PARTIES SHALL NOT BE LIABLE FOR THE CONDUCT OF THIRD PARTIES, INCLUDING OPERATORS OF EXTERNAL SITES, THIRD-PARTY AI SERVICES, OR PAYMENT PROVIDERS. THE RISK OF INJURY RESULTING FROM SUCH THIRD PARTIES RESTS ENTIRELY WITH YOU.

No Liability for Conduct of Other Users

YOU ARE SOLELY RESPONSIBLE FOR ALL COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE ITMEO PLATFORM. ITMEO DOES NOT VERIFY THE STATEMENTS OF USERS AND MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THEIR CONDUCT. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE ITMEO PLATFORM.

No Warranty on Creator Content

ITMEO MAKES NO WARRANTY THAT ANY CREATOR CONTENT, REQUESTS, PRODUCTS, SERVICES, OFFERS, IMAGES, BLOG POSTS, OR SUBSCRIPTIONS PROVIDED BY CREATORS WILL MEET YOUR REQUIREMENTS OR THAT SUCH SERVICES WILL BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. ITMEO ALSO DISCLAIMS ANY WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY USER CONTENT OBTAINED THROUGH THE ITMEO PLATFORM.

WHILE WE MAY ASSIST IN RESOLVING DISPUTES AMONG USERS THROUGH VARIOUS PROGRAMS, WE DO NOT CONTROL AND DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF TRANSACTIONS, THE TRUTH OR ACCURACY OF USER CONTENT, OR THE ABILITY OF USERS OR CREATORS TO ENGAGE IN TRANSACTIONS.

Basis of the Bargain

THE LIMITATIONS ON DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE AGREEMENT BETWEEN ITMEO AND YOU.

Acceptable Use for Creators

Creators may accept donations and sell various types of goods or services on the Itmeo platform, including Creator Content, Products, Services, Offers, Images, Subscriptions, Downloads, Sites, and Blog Posts, subject to applicable fees.

A Creator is defined as any individual or business who registers a Itmeo page or utilizes the Itmeo Platform to solicit Donations, receive Messages, post Content, make Sites, or sell Creator Content, Products, Services, Offers, Images, Subscriptions, Downloads, Blog Posts, or any other type of goods or Services. As a Creator, you are fully responsible for all text, images, videos, links, and other content that you create, upload, post, publish, or display on Itmeo.

When using features that allow you to upload content or interact with other users, you warrant that you possess the necessary authorization to provide this information. You agree to indemnify and hold us harmless for any breaches of this warranty, meaning you will be responsible for any losses or damages we incur as a result of such breaches.

Any Content you upload to our platform will be treated as non-confidential and non-proprietary. While you retain all ownership rights to your Content, you grant us and other Itmeo users a limited license to use, store, copy, distribute, and make that Content available to third parties. We reserve the right to utilize your Content to improve our website and business operations without any liability to you.

You also grant us the right to disclose your identity to any third party claiming that content posted or uploaded by you infringes their intellectual property rights or violates their right to privacy.

We reserve the right to review and remove any Content or posts made on our Website if, in our reasonable opinion, such action is necessary to protect our business or Itmeo interests.

Itmeo Platform may also act as a Creator and is authorized to sell products, services, and other offerings on Itmeo under the same terms and conditions applicable to other Creators.

As a Creator you agree to become a data controller, personally responsible for the lawful processing of any information provided to you on Itmeo, for example, email addresses of followers or names and addresses of purchasers of goods or services you sell on Itmeo. You will only use information about Users (including but not limited to donors, followers, buyers, subscribers) to communicate with Users in relation to their interactions with you on Itmeo and in a lawful manner. You must provide Users with options to withdraw their consent for information processing and to delete their data from your records, while ensuring adherence to all applicable laws regarding the processing of personal information provided by Itmeo.

To register for a 'Creator' account, you must be at least 18 years of age.

You are prohibited from using the Itmeo, services, or pages for any of the following activities:

Violations of Standards: Engaging in any activities that breach our Content Guidelines, Copyright Guidelines, or any other guidelines we publish periodically.
Legal Violations: Participating in activities that violate any law, governmental regulation, industry requirement, or money laundering regulations.
Financial Responsibilities: You acknowledge that you have paid and will pay in full any fees, royalties, or other payments due in connection with the use of Creator Content by yourself or any third party. This includes adhering to the policies of payment providers such as PayPal and Stripe. Prohibited Content: You may not upload or share content that includes, but is not limited to:
- Adult or sexually explicit content, including pornography, nudity, literature, imagery (including illustrative), videos, or links to external sites or content containing such material and other obscene content;
- Sexual services such as prostitution, escort services, pay-per-view, or adult live chat features;
- Content that is fraudulent, misleading, inaccurate, or dishonest;
- Violent or excessively gory content;
- Hate speech, intimidation, or any form of abuse targeting individuals, groups, or institutions.
Targeted Abuse: Any form of abuse directed at individuals, groups, or institutions.
Intent to Harm: Engaging in activities designed to harm creators financially, including tactics such as chargebacks or fraudulent disputes.
Tax Evasion: Conducting transactions for the sale of goods or services intended to evade tax obligations.
Intellectual Property Infringement: Selling or distributing products or services that infringe upon or facilitate the infringement of third-party trademarks, patents, copyrights, trade secrets, or privacy rights.
Games of Chance: Organizing raffles, lotteries, giveaways, or any games of chance where an entry fee is paid, and winners are selected randomly.
Third-Party Content: Ensuring that your Creator Content does not include any third-party intellectual property or materials unless you have obtained permission from the rights holder.
Unacceptable Activities: Any other activities that Itmeo, at its sole discretion, deems unacceptable.

By adhering to these guidelines, you help maintain the integrity and safety of the Itmeo Platform.

User-Specific Terms

Definition of a User

A "User" is defined as any individual or entity that provides payments, donations, messages. likes, views or any actions to a Creator page or register on Itmeo. Itmeo does not guarantee the legitimacy, accuracy, truthfulness, or lawfulness of any Creator page, Service, Blog post, Message, or Content. It is the User’s responsibility to evaluate whether to support or purchase Products, Services, or other goods offered by a Creator and to seek appropriate financial, legal, tax, or professional advice beforehand.

Age Requirement

To register as a User or to use the Itmeo Platform in any capacity, you must be at least 18 years of age.

Prohibited Activities

Users are strictly prohibited from engaging in any of the following activities while using the Itmeo Platform, services, or associated pages:

Violations of Itmeo Guidelines: Engaging in any activities that breach the Itmeo Content Guidelines.

Targeted Abuse: Engaging in any form of abuse against individuals, groups, or institutions.
Harmful Activities: Conducting activities intended to harm the Creator, particularly through financial harm (e.g., chargebacks or fraudulent disputes).
Tax Evasion: Performing transactions designed to avoid tax obligations.
Intellectual Property Infringement: Offering products or services that infringe upon or facilitate infringement of trademarks, patents, copyrights, trade secrets, or proprietary rights of any third party.
Other Unacceptable Actions: Any other activities deemed unacceptable by Itmeo at its sole discretion.

Content Monitoring and Liability

Itmeo reserves the right to monitor, review, and remove any content or postings made by Users if it is deemed necessary to protect its business interests.

Furthermore, Itmeo will not investigate or be held liable for any donations made in error, refund requests, or monetary disputes between the Creator and the User.

Creator Content

We are not responsible for any Content posted on the Website or through the Services. Each User is responsible for the Content such user submits.

You may share or upload Content, Text, Links, Images, Videos or any other Content through the Itmeo Platform, including by way of your prompts, comments, questions and other input to the Itmeo Platform (collectively, “Content”). Creators can accept Donations, sell Creator Content, Products, Services, Offers, Images, Subscriptions, Downloads, create Sites, Blog Posts, or any other type of goods or Services (subject to applicable fees). You, and not Itmeo, are entirely responsible for all Input you upload, share, post, email, transmit, query or otherwise make available through or to the Itmeo Platform, including the SNS Content or user generated content. When you make available any Content on or to the Itmeo Platform, you represent that you own and/or have sufficient rights to use such Content in connection with the Itmeo Platform, including to grant the license set forth in the section Copyright Guidelines.

The contractual relationship entered into for any transaction in relation to Creator Content, Donations or Memberships shall be directly between the Creator and the Supporter or buyer. The Creator is responsible for supplying the relevant buyer with its own appropriate terms and conditions relating to any such sales of the Creator Content.

Itmeo will not be a party to any agreements, discussions, disputes, demands or otherwise in relation to sales of Creator Content or Memberships or in relation to any solicited Donation, and will not be held responsible for any returns, damages, claims or loss arising from them.

Reporting Content

At Itmeo, we prioritize the safety of all users. We have strict rules against illegal content and activities, as well as content that breaches our Itmeo Content Guidelines (see the sections titled “Acceptable Use for Creators” and “User Specific Terms”). If you encounter any illegal content or activity (referred to as "Illegal Content") on our website, or content that violates the Itmeo Content Guidelines (referred to as "Prohibited Content"), please report it to us, regardless of whether you are a Creator or another user.

How to Report Content

To report Illegal Content or Prohibited Content, please send an email to [email protected] with an appropriate subject line. Include the following information to help us review your report and take appropriate action:

Description of Concerns: Provide a clear explanation of why you believe the content is illegal or prohibited, including sufficient details for us to understand your reasoning.
Relevant Pages: Specify the page or pages that contain the content, along with enough information to identify the specific item in questio
Contact Information: Include your name and email address. While providing this information is not mandatory, it will help us assess the situation accurately. Please refrain from sharing personal information if it could put you at risk.

We will ask you to confirm the accuracy of your report to prevent misuse of the reporting system. If we find that a user is repeatedly submitting unfounded complaints, we may take appropriate actions, including suspending their access to the site.

Our systems and processes for checking for Priority Illegal Content may include automated reviews of images and text, as well as human oversight. We continuously evaluate our methods to incorporate emerging technologies.

Actions Taken on Illegal Content

If we become aware of any Illegal Content on our site—whether through user reports or our own monitoring—we have a legal obligation to act. Our response may include:

Removing or disabling access to the Illegal Content.
Suspending or terminating a user’s account or restricting their access if they are found to be repeatedly submitting Illegal Content.

When we take action, we will notify the person who provided the report, explaining our decision. We will also inform them how they can challenge our decision. If our actions are based on a report, we will not disclose the identity of the reporter unless it is necessary to explain why the content was removed (e.g., in cases of intellectual property infringement).

Impersonation

Usernames

Creators are prohibited from exchanging Itmeo usernames for money. When choosing a username, you must intend to use it as your own.

These Copyright Guidelines outline the rules for using copyrighted material on our platform to protect both creators and copyright holders.

Itmeo's Role in Copyright Matters

By using the Itmeo platform, you acknowledge that resolving copyright disputes is primarily the responsibility of the involved parties. Itmeo does not provide legal advice and is not equipped to validate copyright claims. As a user, you are responsible for complying with copyright laws and seeking legal assistance when necessary.

Ownership of Your Content

You retain full ownership of all right, title, and interest in your content. Itmeo does not claim any ownership of your content. However, you acknowledge the following:

Content created on the Itmeo platform may not be unique to you, as similar outputs may be generated for other users under similar circumstances.
Itmeo does not guarantee that your content is protectable by any intellectual property rights under applicable law.

License to Your Content

Subject to your selected account settings, you grant Itmeo a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable license to use, license, distribute, reproduce, modify, adapt, publicly perform, and publicly display your content (in whole or in part) in any medium or manner, now known or hereafter devised, for the purposes of operating and providing the Itmeo platform to you and our other users.

Additionally, you acknowledge that your content may be used by Itmeo or third-party providers of AI services to train, develop, enhance, improve, and evolve the service, including for labeling, classification, content moderation, and model training purposes, as well as for marketing and promotional activities.

You also agree that Itmeo may use and share your content and any information resulting from your use of the services as outlined in the Itmeo Privacy Policy, which may be updated from time to time, and for legitimate business purposes.

Non-Compliance

By using the Itmeo platform, you agree to comply with these guidelines and understand that it is your responsibility to ensure your content adheres to copyright laws.

If you do not comply with our copyright guidelines, the following actions may be taken:

If we receive a valid infringement claim against your content or discover that your content violates our guidelines, we may remove or disable access to the infringing content.
In certain cases, we may temporarily unpublish your page to investigate potential copyright violations or provide you an opportunity to address any issues.
For repeated infringements or severe violations of our copyright guidelines, we may permanently unpublish your page or account. We reserve the right to determine when such actions will be taken.

Payments

Itmeo is not a payment provider. Payments are processed directly between Users and Creators using third-party payment providers, such as PayPal, Inc. and Stripe, Inc.

By using Itmeo, you agree to comply with the terms set forth by these third-party payment providers, who will handle all matters related to payment processing and the use of your card details.

Please note that payment providers may display personal information associated with your payments account, depending on your account type, even if a donation is marked as ‘Private.’ If you have any questions or concerns about the information displayed during payment, we recommend consulting your payment provider directly before using Itmeo.

Fees

We reserve the right to change our fees and introduce additional charges for any type of transaction in the future. Our current fees for subscriptions and transactions are listed on our website and may be updated periodically.

When you make a purchase or donation on our site, it is important to note that you are transacting with Creators, who are third-party sellers on the Itmeo Platform.

Creators may incur fees for subscriptions, which will be communicated to you at the time you initiate your subscription. Please be aware that the type of subscription you choose can affect your transaction fees. Depending on the subscription level or type of transaction, Itmeo may not charge fees, but we reserve the right to introduce additional fees for any subscription, transaction, purchase, or donation in the future.

For other types of subscriptions, transactions, or any other Itmeo features, we may apply fees. All applicable transaction fees related to Creator Content, Donations, Products, or any other goods and Services will be automatically deducted from the relevant transaction by our third-party payment providers.

Taxes

You are responsible for determining the applicability of any taxes on the Donations, Subscriptions, and Sales you receive from using our services. It is your sole responsibility to assess, collect, report, and remit the correct taxes, if any, to the appropriate tax authorities.

Linking to the Site and Scraping

You may not scrape content from this site and repost it, either manually or automatically, without prior written consent from Itmeo. This site must not be framed on any other site without our written permission. We reserve the right to revoke permission for linking, scraping, or framing at any time without notice.

Itmeo and the Creators using Itmeo act as separate and independent data controllers of Users’ personal data, which includes (but is not limited to) followers, donors, subscribers, and buyers. Each party is responsible for the personal information they handle on Itmeo. Both Creators and Users acknowledge that Itmeo will not be held liable for any disclosure or misuse of personal data by a Creator.

By using this service, Creators agree to indemnify Itmeo against any expenses, damages, or fines incurred as a result of their use of personal information obtained through the platform.

Termination

You are responsible for ensuring that anyone who accesses our website through your internet connection is familiar with these Terms of Use and any other applicable terms and conditions, and that they comply with them.

To terminate your Itmeo account, please send an email to [email protected] to request account deletion.

Itmeo reserves the right to terminate or suspend your account and any related services immediately if we have a legitimate reason to do so, including but not limited to a breach of these Terms of Use or actions that jeopardize our business interests.

Upon termination of your account, your right to access and use Itmeo.com will immediately cease. All provisions of the Terms of Use will remain in effect after termination, including but not limited to ownership rights, disclaimers, indemnities, and limitations of liability.
